XM Satellite Radio Holdings Inc. (NASDAQ: XMSR) said Friday it has agreed to an interest rate increase for its senior notes due 2009 upon the company's acquisition by rival Sirius Satellite Radio Inc. The interest rate for the $400 million in 1.75 percent convertible senior notes due 2009 will be raised to 10 percent a year. The noteholders have also agreed not to claim that the acquisition represents a "fundamental change" that would require XM to offer to repurchase the notes. As a result, XM no longer plans to offer to swap new convertible senior notes for the existing convertible notes. XM shares fell 12 cents to $7.94 in morning trading.
The Federal Communications Commission's (FCC) Enforcement Bureau has been asked to issue an order stopping Sirius Satellite Radio's (NASDAQ: SIRI)unauthorized satellite live television broadcasting using spectrum that the Commission licensed exclusively for satellite radio broadcasting, and to conduct an investigation into Sirius's misuse of spectrum. According to a related filing with the FCC, Sirius's misuse of spectrum, combined with its proposed SDARS monopoly with XM, would amount to a multi-billion windfall at the expense of federal taxpayers, based on the difference between the combined price paid by Sirius and XM for their SDARS spectrum and the value of comparable spectrum allocated for multiple uses under rules permitting a monopoly.
